Salmon farmers NTS and Norway Royal Salmon (NRS) have entered into a transaction agreement with the aim of merging NRS with NTS' wholly owned fish farming company SalmoNor. Arntzen de Besche assists NTS as legal advisor in this transaction, which creates the world's sixth largest salmon farming company.
Arntzen de Besche assisted NTS when they won the NRS bidding battle last year. Now they want to merge the company with their wholly owned SalmoNor. The agreement values SalmoNor at a company value of NOK 8.3 billion, while the estimated equity value for SalmoNor is around NOK 6.35 billion. The purchase price is agreed to be financed by 68.14 per cent consideration shares in NRS, and 31.86 per cent cash. The agreement is subject to "satisfactory company review", and NTS expects it to be completed shortly.
The transaction is expected to be completed in Q2 this year, according to the press release.
