Steffen G. Rogstad

Rogstad advises clients on matters relating to company law, transactions and employment law. In recent years, he has acted as legal advisor to several of the largest transactions and restructuring processes in Central Norway. His clients are mainly industrial entities, large and small power companies, the aquaculture and transport sectors, and private equity firms, which he helps to acquire and divest companies and complete capital market transactions. He also assists with securities trading and company law issues.

He is deputy chair of the Dispute Resolution Board under the Norwegian Working Environment Act and regularly advises private companies, public bodies and publicly owned companies on employment law questions. He is also an important authority in the field of employment law. He works on a wide range of employment law issues relating to downsizing processes. He advises on rights and obligations in employment relationships, individual termination of employment and summary dismissal cases, whistleblowing cases, business transfers, suspension cases and individual employment disputes. He also undertakes fact-finding and internal inquiry assignments.

Rogstad works closely with his clients and plays a key role in difficult negotiations. He is much used by his clients as a strategic advisor.

Frøy Kapital aqcuires 66 percent of OceanTech Innovation

Frøy Kapital becomes a long-term owner of the Trondheim-based technology company OceanTech Innovation, with the aim of further growth both internationally and in new markets. We are proud to have assisted Frøy Kapital as legal advisors in this transaction.

Arntzen de Besche assisted NTS ASA with the acquisition of Norway Royal Salmon ASA

In July 2021 NTS ASA made a mandatory offer of 100% of the shares in Norway Royal Salmon ASA of NOK 209 per share. This was later increased to NOK 240 per share, which priced all shares in the company at NOK 10.4 billion. The acceptance deadline expired on 26.08.21, and NTS ASA received acceptances that together with already owned shares mean that NTS ASA owns approximately 70.6% of the outstanding shares in Norway Royal Salmon ASA.

Arntzen de Besche has assisted NTS ASA with a bid for Norway Royal Salmon ASA

NTS ASA has today submitted a bid for all shares in Norway Royal Salmon (NRS). With a price of NOK 209 per share, the bid ends at NOK 9.4 billion, almost two billion more than the marked value before the bid was submitted. Arntzen de Besche has been legal advisor in this bid which is the latest in a number of large and complex transactions where they have assisted NTS ASA, most recently by merger with Salmonor AS, announced on 2 June 2021, with a value of approximately NOK 3 billion.

Arntzen de Besche assists Torghatten ASA in bid from EQT

On 23 December, EQT Infrastructure V, through HATI BidCo, submitted an offer to acquire all outstanding shares in Torghatten ASA. The offer values Torghatten ASA at NOK 8.58 billion. Torghatten's shares in Widerøe is not part of the transaction with EQT.

NTS merges with Frøy Gruppen

The Board of Directors in OSE-listed company NTS ASA has entered into an agreement with Gåsø Næringsutvikling AS to merge with Frøy Gruppen. Arntzen de Besche has been legal advisor to both parties in the transaction.

Arntzen de Besche has assisted in the sale of FARA

It was announced 2nd December 2019 that the UK company TIcketer has acquired the technology company FARA. FARA is a leading provider in the Nordics within electronic ticketing and the products are sold to among others Sweden, Denmark, Germany, UK, Ungarn and Switzerland.
